How to Form an S-Corporation in Wisconsin

Select Business Name According to State Requirements

  • Name Requirements: Must be unique and cannot be similar to the name of another corporation in Wisconsin.
    • Must include one of the following:
      • “Incorporated”
      • “Corporation”
      • “Limited”
      • “Company”

File Articles of Incorporation and Submit Filing Fees

  • Required Documents:
    • The number of shares the corporation is authorized to issue.
    • Any provision granting or limiting preemptive rights.
    • Name and address of the initial registered agent.
    • A statement that the corporation is incorporated under the laws of Wisconsin
    • A statement that says, “This document was drafted by (fill in incorporator’s name).”
  • Filing Fee: $100
  • Processing Time: Standard processing is 5 business days; expedited is 1 business day

Appoint a Registered Agent

  • If the Registered Agent is an individual person, they must reside in Wisconsin.
  • If the Registered Agent is a business, they must be able to conduct business in Wisconsin.
  • The Registered Agent must have a physical street address in Wisconsin, not a P.O. Box.
  • The WI Registered Agent must be available in person during normal business hours to sign for any correspondence.

Register Your Federal Tax ID Number with the IRS

  • An EIN is required for corporations that will have employees.

Complete Annual Reports

  • Annual Report Deadline:
    • Domestic: By the end of the registration anniversary quarter.
      • January 1st – March 31st: Annual Report Due March 31st
      • April 1st – June 30th: Annual Report Due June 30th
      • July 1st – September 30th: Annual Report Due September 30th
      • October 1st – December 31st: Annual Report Due December 31st
    • Foreign: Annually by March 31st
  • Filing Fee: $25 online; $40 by mail

Establish at Least One Director 

  • Minimum Requirements: Your corporation must have one or more directors.
