How to Form an S-Corporation in Mississippi

The state of Mississippi produces more than half of the country’s farm-raised catfish, and it is also a top producer of sweet potatoes, cotton, and pulpwood. Other main state industries include advanced manufacturing, trade, transportation and utilities, and education and health services.

When forming an S-Corporation in the state of Mississippi, you must complete the following requirements:

  • Select a business name according to requirements
  • File all necessary articles of organization and submit filing fees
  • Fulfill registered agent requirements
  • Register your federal tax ID
  • Complete annual reports
  • Establish a director

Select Business Name According to State Requirements

  • Name requirement: Your name must include “Corporation,” “Incorporated,” “Company,” “Limited,” or an abbreviation for one of these words.
  • If you are a professional corporation, you can use “Professional Corporation or “P.C.” as your designation.
    • Tip: Most corporations keep it short and sweet with “Corp” or “Inc.”

File Articles of Organization and Submit Filing Fees

  • To start a corporation in Mississippi, you must file Articles of Incorporation with the Secretary of State’s Business Services.
  • Filing Fee: $50
    • If you submit your filing online, there is also a variable convenience fee that is around $3-4.
  • Processing Time: Mississippi Articles of Incorporation must be filled out online and then either submitted electronically or printed out and mailed. The processing time is quick—just a day—but if you mail your form, you will need to add time for postal delivery.

Fulfill Registered Agent Service Requirements

  • In your Articles of Incorporation, you’re required to list a Mississippi registered agent. You can either hire an agent or appoint someone. 

Register Your Federal Tax ID Number

  • Corporations must have an EIN for their federal tax filings.
    • You will also need your EIN before registering for Mississippi’s Taxpayer Access Point, the state’s online tax system.

Complete Annual Reports

  • Your Mississippi Annual Report is a form you file to confirm or update your corporation’s ownership and contact information with the Secretary of State’s Business Services.
  • Annual Report Deadline: April 15
  • Filing Fee: $23.25
    • Fail to file? The state will dissolve your corporation.

Establish A Director 

  • Minimum number: Corporations are required to have one or more directors.
  • Director qualifications: The Articles of Incorporation or bylaws may prescribe the qualifications for directors.
  • Appearance in articles: Not required. Directors’ names and addresses do not have to appear in the Articles of Incorporation.
  • Written consent: Permitted. Directors may act in writing in lieu of holding a meeting.
