How to Form an S-Corporation in Florida

When forming an S-Corporation in the state of Florida, you must complete the following requirements:

  • Select a business name according to requirements
  • Complete articles of incorporation
  • Fulfill registered agent requirements
  • Register your federal tax ID
  • Complete annual reports
  • Establish a director

Select Business Name According to State Requirements

• The corporation’s name must contain the word “Corporation,” “Company,” Incorporated” or an abbreviation thereof.
• It may not contain language stating or implying that the corporation is organized for purposes other than that permitted by Florida law or the Articles of Incorporation.
• The name must be distinguishable from another corporation formed in the state.
• Words such as “Bank,” “Bancorp,” “Mortgage” and “Loan” require approval from the Department of Financial Regulation.

Complete Articles of Incorporation

• The articles of incorporation must include:
-Corporation’s name
-Office street address
-The Corporation’s purpose
-The name, a signature, and address of the registered agent for service of process
-The name and address of the person incorporating the company
• Filing fee is $35.
• Designation of Registered Agent: $35.00
• Certified Copy (optional): $8.75 (plus $1 per page for each page over 8, not to exceed a maximum of $52.50).
• Certificate of Status (optional): $ 8.75

Fulfill Registered Agent Service Requirements

• Corporations must list the name and address of a registered agent with a physical address (no post office boxes) in Florida.
• The registered agent must be available during normal business hours to accept important legal and tax documents for the business.

Register Your Federal Tax ID Number

  • If you intend to hire employees or open a bank account, you will need a federal Employer Identification Number (EIN).

Complete Annual Reports

• Submit annual report to Division of Corporations each year.
• Due by May 1.
• Fee is $150.
• Late fee is $400.

Establish A Director 

• Corporations must have one or more directors.
• Florida does not specify where directors must reside.
• Directors must be at least 18 years old.
• Director names and addresses are required to be listed in the Articles of Incorporation.
