How to Form an LLC in Connecticut

The southern New England state of Connecticut offers a mix of coastal cities and rural areas dotted with small towns. While agriculture no longer holds its once-prominent position in Connecticut’s economy, farming is still an integral part of the state’s economy. The most important crops are dairy, poultry, forest and plant nursery, tobacco, and produce.

When forming an LLC in the state of Connecticut, you must complete the following requirements:

  • Select a business name according to requirements
  • File certificate of organization and submit filing fees
  • Fulfill registered agent requirements
  • Register your federal tax ID number with the IRS
  • Complete annual reports
  • Establish at least one manager

Select Business Name According to State Requirements

  • The abbreviations “LLC” or “L.L.C.” must be used at the end of your name. 
  • Because an LLC is not a Corporation, your desired Connecticut LLC name cannot use the word “Corporation”, “Incorporated,” or their abbreviations (“Corp.”, “Inc.”).
  • Your Connecticut LLC name must be distinguishable, different, and unique from all other businesses registered in Connecticut.

File Certificate of Organization and Submit Filing Fees

  • File your Certificate of Organization by mail or online. 
  • Either way, the LLC filing fee is $120.
    • File by mail- approval time can be as quick as 7-10 business days. If the state’s office is backed up, approval time can take 3-5 weeks.
    • File online- approval time takes 2-3 business days (regardless of whether or not the state is backed up).

Fulfill Registered Agent Service Requirements

  • LLCs must list the name and address of a registered agent with a physical address (no post office boxes) in Connecticut. 
  • The registered agent must be available during normal business hours to accept important legal and tax documents for the business.

Register Your Federal Tax ID Number with the IRS

  • Having an EIN for your Connecticut LLC allows you to open a separate bank account under the LLC’s name, apply for certain licenses and permits, and handle employee payroll (if applicable).

Complete Annual Reports

  • Your Connecticut LLC Annual Report is due between January 1st and March 31st each year.
  • Fee is $20.
  • Your first LLC Annual Report is due the year following the year that your LLC was approved.

Establish At Least One LLC Member or Manager 

  • LLCs must have one or more members/managers.
  • Members/managers must have a physical address (no post office boxes).
  • Connecticut does not have age requirements.
  • Member/Manager names and addresses are required to be listed in the Articles of Organization.
