How to Form a Non-Profit Organization in West Virginia

Famed for its mountains and hills, West Virginia is a state rich in natural resources, with an active outdoor culture. Located in the mid-Atlantic region of the U.S., it is ideally placed for many types of businesses.

When forming a Non-Profit organization in the state of West Virginia, you must complete the following requirements:

  • Select an organization name according to requirements
  • Complete annual report
  • Appoint members

Select an Organization Name According to State Requirements

• Name Requirements: Your business name must be unique and cannot be similar to the name of another organization in West Virginia.
o Must include one of the following:
• “Incorporated”
• “Corporation”
• “Limited”
• “Company”

Complete Annual Report

• Annual Report Deadline: July 1st
• Filing Fee: $25
o Late Filing Fee: $25 and the risk of your business being dissolved or revoked

You must indicate if your nonprofit will or will not have members.

Appoint a Registered Agent for Your Organization

• List the name and street address of your nonprofit’s agent of process.
o This is the individual or business authorized to receive service of process on behalf of your nonprofit.

File Articles of Incorporation and Submit Fees

• To start a non-profit in West Virginia, you must file a document called the Articles of Incorporation with Non-Profit IRS Attachment (Form CD-INP) with the West Virginia Secretary of State.
• Required Documents:
o The general type of business the corporation will conduct (this provision can, however, end with a general statement such as “including the transaction of any or all lawful business for which corporations may be incorporated under West Virginia law.”
o The number of shares the corporation is authorized to issue and the par value of each share, or a statement that all shares are without par value
o The street address of the corporation’s initial registered office
o The name of its initial registered agent at that office
• Filing Fee: $25
• Processing Time: Standard filings process in 5 weeks
o Expedited filings process in 10 business days for an additional $250
o For a 2-day expedited filing, your fee will be $275

Register Your Federal Tax ID Number 

• Your nonprofit will need an employer identification number (an EIN or FEIN) to open a bank account, establish credit with vendors, and apply for 501(c)(3) federal tax-exempt status (among other things).
o After the state approves your articles of incorporation, you can apply for an EIN on the IRS website, by fax, or by mail.
