Select Business Name According to State Requirements

  • Name Requirements: Must be unique and cannot be similar to the name of another corporation or LLC in Wyoming.
    • Must include one of the following:
      • “Incorporated”
      • “Corporation”
      • “Limited”
      • “Company”

File Articles of Incorporation and Submit Filing Fees

  • Required Documents:
    • The corporation’s name
    • The corporation’s mailing address and street address
    • The corporation’s Registered Agent and their address
    • The corporation’s capital structure (number of shares to be issued, who owns them, pricing, etc.)
    • The name and address of the incorporators
  • Processing Time: Standard processing time is 5 business days; expedited is 1 business day.
  • Filing Fee: $102

Appoint a Registered Agent

  • If the Registered Agent is a person, they must reside in Wyoming
  • If the Registered Agent is a business, they must be able to conduct business in Wyoming
  • The Registered Agent must have a physical street address in Wyoming, not a P.O. Box
  • The WY Registered Agent must be available in person during normal business hours to sign for any correspondence

Register Your Federal Tax ID Number with the IRS

  • An EIN is required for corporations that will have employees.

Complete Annual Reports

  • Annual Report Deadline: On or before the 1st day of the anniversary month of organization.
    • Example: if you incorporated or foreign-qualified on March 15, then your annual report is due every year by March 1.
  • Filing Fee: $50 for businesses with less than $250,000 in Wyoming assets.
    • An additional $2-$9 convenience fee is charged for online filing.

Establish at Least One Director 

  • Minimum Requirements: Your corporation must have one or more directors.
