How to Form a C-Corporation in Texas
The Lone Star state is a great place to start a business. A combination of natural resources, lots of land area and culturally diverse cities makes Texas a center of opportunity.
When forming an C-Corporation in the state of Texas, you must complete the following requirements:
- Select a business name according to requirements
- File certificate of formation and submit filing fees
- Appoint a registered agent
- Register your federal tax ID number with the IRS
- Complete public information reports
- Establish at least one director

Select Business Name According to State Requirements
- Name Requirements: Must be unique and cannot be similar to the name of another corporation or LLC in Texas.
- Must include one of the following:
- “Incorporated”
- “Corporation”
- “Limited”
- “Company”
- Must include one of the following:
- Restricted Guidelines – the state of Texas will not allow you to form LLCs with names that:
- Are very similar to the name of a federal or TX agency or organization (e.g., FBI, FDA, Texas Department of Revenue, Texas Police, Treasury, etc.)
- Suggest affiliation with a federal or TX agency or organization
- Use the term “Olympic” or any terms that are trademarks of the Olympic organization
- Imply a purpose that it would be illegal for your Texas corporation to carry out

File Certificate of Formation and Submit Filing Fees
- Required Documents – a corporation must file with the TX Secretary of States and include:
- The corporation’s name
- The corporation’s Registered Agent and their address
- The names and addresses of directors
- The corporation’s purpose
- The corporation’s capital structure (number of shares to be issued, who owns them, pricing, etc.)
- The name and address of the organizer
- Filing Fee:$108
- Processing Time: Standard processing is 1 week; expedited processing takes 2 business days.

Appoint a Registered Agent
- If you choose an individual person as a Registered Agent, he or she must reside in Texas
- If you choose a business as a Registered Agent, they must be able to conduct business in Texas
- Your Registered Agent must have a physical street address (not a P.O. Box)
- They must be available in person to sign for any delivered correspondence during normal business hours

Register Your Federal Tax ID Number with the IRS
- An EIN is required for corporations that will have employees.

Complete Public Information Reports
- Public Information Report Deadline: Annually, by May 15th in the year following your first filing in Texas.
- Example: If your organization incorporated in April of 2020, then your report would be due May 15th of 2021.
- Filing Fee: $0

Establish at Least One Director
- Minimum Requirements: Your corporation must have one or more directors.
