How to Form a C-Corporation in Tennessee
Located in the southeastern U.S. and bordered by eight other states, Tennessee has beautiful geography and vibrant cities. The state boasts a diverse economy, with major sectors including tourism, manufacturing, agriculture, chemicals, electrical and transportation equipment.
When forming an C-Corporation in the state of Tennessee, you must complete the following requirements:
- Select a business name according to requirements
- File all necessary articles of incorporation and submit filing fees
- Appoint a registered agent
- Register your federal tax ID number with the IRS
- Complete annual reports
- Establish at least one director

Select Business Name According to State Requirements
- Name Requirements: Must be unique and cannot be similar to the name of another corporation or LLC in Tennessee.
- Must include one of the following:
- “Incorporated”
- “Corporation”
- “Limited”
- “Company”
- Must include one of the following:

File Articles of Incorporation and Submit Filing Fees
- Required Documents:
- The Charter:
- Director names and addresses are required to be listed in the Charter.
- Authorized shares and par value must be listed in the Charter.
- Articles of Incorporation:
- The name and address of each incorporator
- The number of shares the corporation is authorized to issue
- The street address (including county) of the corporation’s initial registered office
- The name of the corporation’s initial registered agent there
- The street address of the corporation’s initial principal office
- A statement that the corporation is for profit
- Any other stock information that must be disclosed under Tennessee law
- The Charter:
- County filing: If the corporation’s principal office is in Tennessee, a copy of the Charter must be filed with that county’s government. If the principal office is not in Tennessee, no county filing is required.
- Filing Fee: $108
- Processing Time: Standard processing takes 5 business days; expedited processing takes 1 business day.

Appoint a Registered Agent
- If the Registered Agent is an individual person, they must reside in Tennessee
- If the Registered Agent is a business, they must be able to conduct business in Tennessee
- The Registered Agent must have a physical street address in Tennessee, not a P.O. Box
- The TN Registered Agent must be available in person during normal business hours to sign for any correspondence

Register Your Federal Tax ID Number with the IRS
- An EIN is required for corporations that will have employees.
- All business entities are also required to obtain a state tax identification number by submitting a Tennessee State Tax ID Form

Complete Annual Reports
- Required Documents:
- The corporation’s name and its state or country of incorporation
- The address of the principal corporate office
- The address of the corporation’s registered office in the state
- The name of the corporation’s registered agent there
- The names and addresses of the directors and principal officers
- A brief description of the nature of the corporation’s business
- The total number of authorized, issued, and outstanding shares of stock, itemized by class and series (if any) within each class
- Annual Report Deadline: April 1st
- Filing Fee: $20 plus an optional $2.25 online filing fee.

Establish at Least One Director
- Minimum Requirements: Your corporation must have one or more directors.
