How to Form a C-Corporation in Kansas

Select Business Name According to State Requirements

  • Name requirement: Kansas requires corporations to have names that cannot be confused with any other entity name registered with the Secretary of State.
  • Permitted designations: Kansas corporate names may be followed by several approved designations, including:
    • Co.
    • Company
    • Corp.
    • Corporation
    • Inc.
    • Incorporated
    • Limited
    • Ltd.

File Articles of Incorporation and Submit Filing Fees

  • Filing Fee: $75
  • Required documents: The state of Kansas requires businesses to file For Profit Articles of Incorporation with the Secretary of State.
    Turnaround time: In general, turnaround time for incorporating a business in Kansas is 2-3 business days.
    Follow-up filings: Not required.

Appoint a Registered Agent

  • Corporations must list the name and address of a registered agent with a physical address (no post office boxes) in Kansas.
  • The registered agent must be available during normal business hours to accept important legal and tax documents for the business.

  • Federal tax id number requirements- required for corporations that will have employees. Additionally, most banks require an EIN before opening a business bank account.

Complete Annual Reports

  • Annual Report Deadline: Kansas requires corporations to file an annual report, which is due on the 15th day of the fourth month after the close of its fiscal year (April 15 for calendar-year corporations).
  • Filing Fee: $55

Establish at Least One Director 

  • Minimum number. Corporations must have one or more directors.
  • Residence requirements. Kansas does not have a provision specifying where directors must reside.
  • Age requirements. Directors must be at least 18 years old.
  • Inclusion in the Articles of Incorporation. Director names and addresses are required to be listed in the Articles of Incorporation.
