How to Form a C-Corporation in Connecticut

The southern New England state of Connecticut offers a mix of coastal cities and rural areas dotted with small towns. While agriculture no longer holds its once-prominent position in Connecticut’s economy, farming is still an integral part of the state’s economy. The most important crops are dairy, poultry, forest and plant nursery, tobacco, and produce.

When forming an C-Corporation in the state of Connecticut, you must complete the following requirements:

  • Select a business name according to requirements
  • File certificate of organization and submit filing fees
  • Fulfill registered agent requirements
  • Register your federal tax ID number with the IRS
  • Complete annual report
  • Establish at least one director

Select Business Name According to State Requirements

  • The name of the corporation must be in English letters or numbers. 
  • It must contain one of the following words: “Corporation,” “Company,” “Incorporated,” “Limited” or “Societa per Azioni” or it must contain the abbreviation “Corp.,” “Inc.,” “Co.,” “Ltd.” or “S.p.A.” 
  • It may not imply it is organized for any purpose not permitted in its Certificate of Incorporation. The name must be distinguishable from the name of a domestic corporation; a reserved or registered corporate name; the fictitious name of a foreign corporation; the name of a nonprofit corporation; the name of any domestic or foreign non-stock corporation; or other business entities filed with the state.

File Certificate of Organization and Submit Filing Fees

  • The base filing fee for your Certificate of Incorporation is $100, as well as a minimum $150 franchise fee that must be paid at the same time.
    • Connecticut requires corporations to file an Organization and First Report Form which costs $150 as well. Expect to pay about $400 to start.
  • File online and process time is about 3 days.
  • Expediting is $50 fee for 24-hour processing.

Fulfill Registered Agent Service Requirements

  • Corporations must list the name and address of a registered with a physical address (no post office boxes) in Connecticut.
  • The registered agent must be available during normal business hours to accept important legal and tax documents for the business.

Register Your Federal Tax ID Number with the IRS

  • An EIN is required for corporations that will have employees. Additionally, most banks require an EIN before opening a business bank account.

Complete Annual Reports

  • Annual report is due on or before the last day of the incorporation anniversary month. 
  • The fee is $150.

Establish at Least One Director 

  • Corporations must have one or more directors.
  • Connecticut requires directors to have a physical address (no post office boxes).
  • Connecticut does not have age requirements.
  • Director names and addresses are not required to be listed in the Certificate of Incorporation.
